Official Terms of Trade - N&H Global Sourcing
Standard Terms of Trade and Commercial Governance
Effective Date: 2026
Company: N&H Global Sourcing Ltd
Governing Law: England & Wales
1. Scope & Application
These Terms of Trade govern all commercial quotations, procurement agreements, sourcing mandates, and cross-border supply operations conducted by N&H Global Sourcing Ltd (“the Company”) for commercial buyers, contractors, and corporate clients (“the Buyer”).
2. Quotations, Enquiries & Sourcing Mandates
• All quotations and Proforma Invoices issued by the company are indicative, based on prevailing supplier pricing, currency exchange rates, and freight tariffs, and remain valid for 14 calendar days unless specified otherwise in writing.
• Sourcing orders become legally binding only upon the buyer’s formal written acceptance of a proforma invoice and receipt of the agreed initial deposit.
3. Pricing, Taxes & Currency
• Unless explicitly stated in writing, prices are quoted in GBP (£), USD ($), or EUR (€).
• Prices exclude local destination import duties, port handling charges, demurrage, local clearance fees, and domestic destination taxes unless agreed under specific delivery terms.
4. Payment Terms & Trade Settlements
• Standard payment schedules require an upfront deposit upon order confirmation to secure manufacturing slots or physical inventory, with the balance settled against verified Bills of Lading (B/L), factory inspection reports, or prior to final port dispatch.
• Accepted payment methods include direct Bank Telegraphic Transfer (TT / Wire) and confirmed, irrevocable Letters of Credit (LC) for qualifying high-volume transactions.
• Ownership and title of all goods remain with N&H Global Sourcing Ltd until the total invoice amount is cleared in full.
5. Delivery Terms & Incoterms
• Cross-border shipments are executed under Incoterms® 2020 (e.g., FOB, CIF, CFR, or EXW) as explicitly designated on the relevant Proforma Invoice.
• Risk of loss or damage passes to the Buyer in accordance with the agreed Incoterm. Marine and cargo transit insurance is recommended and will be arranged upon the Buyer’s request.
• Lead times and delivery dates are estimated in good faith. The company is not liable for transit delays caused by global shipping disruptions, customs inspections, port congestion, or force majeure events.
6. Pre-Shipment Inspection & Quality Assurance
• For plant machinery, industrial equipment, and commercial fleets, the Company provides pre-shipment quality verification, test run documentation, or third-party inspection reports (e.g., SGS, Bureau Veritas) prior to dispatch upon request.
• The Buyer retains the right to appoint an independent inspection agent at origin prior to final container loading or vessel departure.
7. Limitation of Liability & Force Majeure
• The Company shall not be liable for any indirect, consequential, or economic loss arising from procurement delays or supply chain disruptions.
• Neither party shall be liable for failure to perform obligations if hindered by acts of God, war, civil unrest, export/import embargoes, statutory restrictions, or severe maritime disruption beyond reasonable control.
8. Jurisdiction & Dispute Resolution
These Terms and all associated trade contracts shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be submitted to the exclusive jurisdiction of the Courts of England and Wales.
9. Compliance and Transparency Commitment: Under these terms of trade, all commercial transactions managed by N&H Global Sourcing operate strictly under UK legal frameworks and recognized Incoterms standards.
